Terms of Service

By creating an account on UpBidAI or using any part of the platform — including the web application and Chrome Extension — you agree to these Terms of Service. If you do not agree, do not use the platform.

These Terms are an agreement between you and Zia-ur-Rehman ("we", "us", "our"), an individual based in Islamabad, Pakistan, Postal code: 44000, who operates the UpBidAI service. UpBidAI is a product operated by Zia-ur-Rehman.

UpBidAI is an AI-powered platform that helps freelancers and agencies win more work on Upwork. Core features:

• AI proposal generation grounded in your portfolio data (RAG-powered)
• Win Chance scoring before spending Upwork Connects
• A Chrome Extension that integrates with Upwork's interface
• Portfolio and profile management tools
• Analytics and proposal history tracking

UpBidAI operates independently and is not affiliated with, endorsed by, or partnered with Upwork Global Inc.

You must be at least 18 years old to use UpBidAI. By using the platform, you confirm you have the legal capacity to enter into this agreement in your jurisdiction.

You are responsible for: providing accurate information; keeping credentials secure; all activity on your account; notifying us of any unauthorized access. We may suspend accounts that provide false information or violate these terms.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Billing is processed by Paddle.com Market Ltd ("Paddle"), our authorized reseller. Paddle acts as the merchant of record for all transactions — this means Paddle, not Zia-ur-Rehman, is the seller of record on your payment statement, and Paddle is responsible for collecting and remitting applicable sales tax/VAT on purchases.

• Free plan: Core features with monthly token quota limits and 5-portfolio cap. No credit card required.
• Pro plan: $10/month. Higher token quota, unlimited portfolios, and advanced features.
• Token top-ups: Pro users may purchase additional credit packs. Balance carries over month to month and does not expire while your account is active.
• Billing cycles: Renewals are monthly from your signup date, not the 1st of the calendar month.

All prices are in USD. Applicable taxes (including VAT/sales tax where required) are calculated and collected by Paddle based on your location.

Auto-renewal: Subscriptions automatically renew on your billing date each month until cancelled. You will be charged the then-current plan price on each renewal date. Cancel before your renewal date to avoid the next charge. By providing payment information, you authorize Paddle to charge your payment method on each renewal date. You also agree to Paddle's Buyer Terms.

UpBidAI uses an internal credit system to meter AI usage. Monthly quota resets each billing cycle. Purchased credits do not reset. Tokens have no cash value and cannot be transferred, sold, or redeemed.

You agree not to: use UpBidAI to generate spam or fraudulent proposals; reverse-engineer the platform's AI systems; circumvent token quotas or access controls; share account credentials; violate Upwork's Terms of Service in connection with your use of UpBidAI; upload content that infringes intellectual property rights; use the platform for payment fraud, card testing, money laundering, or any other illegal financial activity.

By installing the extension you authorize it to read Upwork page content to power its features. The extension does not store your Upwork login credentials. We are not liable if Upwork's interface changes affect extension functionality.

You retain ownership of your portfolio content and proposals. You grant UpBidAI a limited license to process and store your content solely to provide the service. The UpBidAI platform, codebase, and brand assets are owned by Zia-ur-Rehman.

UpBidAI is provided "as is." We do not warrant uninterrupted operation, accurate Win Chance predictions, proposal success, or extension stability across Upwork interface changes.

To the maximum extent permitted by applicable law, UpBidAI is not liable for indirect, incidental, or consequential damages including lost Connects, lost contracts, or lost revenue. Our total liability for any claim shall not exceed amounts paid for the UpBidAI service in the preceding 12 months.

You may cancel at any time from account settings. On termination, your data is retained for 30 days then permanently deleted, except where retention is required for tax, accounting, or legal compliance.

We may update these terms and will notify you of material changes via email or platform notice. Continued use after changes constitutes acceptance.

These Terms are governed by and construed in accordance with the laws of the Islamic Republic of Pakistan, without regard to conflict of law principles.

Any disputes arising from these Terms will first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts located in Islamabad, Pakistan, and both parties consent to personal jurisdiction in those courts.

If you are a consumer resident in the EU or UK, you retain the protections of mandatory provisions of your local law and may bring proceedings in your local courts.
